Description   

Legal, tax and structural issues in cross-border securitisations can be complex. To avoid costlymistakes, it is essential that issuers and their counsel fully understand all aspects of a cross-bordertransaction.This Euromoney Legal Training course, organised in association with leading law firm Orrick,Herrington & Sutcliffe, will focus on the developments that have taken place in the Europeancross-border securitisation market, in terms of the assets that have been securitised,the jurisdictions in which those assets are situated and the different securitisation structures that have been used.

THE FACULTY
 James Croke a partner in the New York office, is a member of the Structured Finance Group. Mr. Croke acts as counsel to underwriters and issuers in public offerings and private placements of funded and synthetic asset-backed securities. His structured finance experience includes funded and synthetic securitisations of numerous assets.Mr. Croke's practice involves both U.S. offerings and offerings in the Euromarkets as well as global underwriting facilities involving simultaneous offerings in the United States and Euromarkets. He has acted as counsel to banks, insurance companies and other sponsors in connection with the establishment of more than 130 asset-backed commercial paper conduits and structured investment vehicles. In addition, Mr. Croke has written and lectured on a number of topics regarding legal and regulatory issues related to securitisation of financial assets, and also participates in numerous professional seminars and conferences about ABCP conduits, SIVs, CDO transactions, synthetic securitisations and related legal and regulatory issues.Sharad A. Samy, a partner in Orrick's London Structured Finance Group, has represented clients in connection with private and public placements of various asset-backed securities. He has acted as counsel to banks, sponsors, issuers and insurance companies, and has represented clients in connection with the securitisation of a number of different asset classes. Having worked extensively in both London and New York, Mr. Samy's structured finance experience covers cross-border transactions involving jurisdictions in North America, Europe and Asia; a significant portion of his practice involves offerings in the United States and European capital markets.Paul White, a partner in the London office, is a member of the Tax Group. He has a wide range of United Kingdom and international business taxation experience. He has acted in relation to a variety of corporate joint venture arrangements via partnerships and corporate vehicles, including in relation to U.K. PFI projects: the tax efficient structuring of U.K. and non-U.K. corporate groups, and corporate mergers, acquisitions, disposals and restructurings.Stephen Jackson is a partner in Orrick's London office and a member of the Tax Group. Mr. Jackson's practice covers a wide range of U.S. federal income tax matters arising in connection with various domestic and international transactions as well as financial products and tax planning for financial institutions. His primary focus is on U.S. taxation of structured finance transactions.

Nikiforos Mathews is a member of the Structured Finance Group. Mr. Mathews' practice focuses on asset-backed commercial paper transactions, CDOs and structured investment vehicles. Mr. Mathews also has extensive experience in the negotiation and documentation of a broad range of derivative products with a wide array of counterparties, including special purpose entities, investment-grade and high-yield corporates, municipalities, and regulated entities.
